Terms of Service

Effective Date: October 6, 2026

Important notice

These Terms of Service are a legally binding agreement. Please read them carefully before using the SRJ Designs website, requesting or purchasing services, approving a design, launching a merchandise program, or buying merchandise through a storefront operated or supported by SRJ Designs.

These Terms contain provisions that affect legal rights, including warranty disclaimers, limitations of liability, indemnification obligations, and procedures for resolving disputes. Those provisions apply only to the fullest extent permitted by law. Nothing in these Terms eliminates a right or remedy that applicable law does not allow a party to waive.

These Terms are intended to be used with a separate Privacy Policy and, for client projects, a written proposal, statement of work, order form, estimate, invoice, email confirmation, or other project agreement. These Terms are not a privacy policy and do not by themselves describe every data practice that may apply to the website or a storefront.

1. About SRJ Designs

SRJ Designs is an Oregon-based merchandise design and production studio. Depending on the project, SRJ Designs may provide creative direction, merchandise and graphic design, product selection, mockups, production coordination, storefront or ordering setup, vendor coordination, and fulfillment support.

SRJ Designs is primarily a design and coordination business. Unless a written Project Agreement expressly states otherwise, SRJ Designs does not own or operate the independent factories, print facilities, embroidery facilities, blank-goods suppliers, shipping carriers, payment processors, commerce platforms, or other third-party services used to produce, sell, and deliver merchandise.

In these Terms, “SRJ Designs,” “SRJ,” “Studio,” “we,” “us,” and “our” mean the person or business operating under the SRJ Designs name. “Site” means the SRJ Designs website and any page, form, portal, storefront, or online service operated by or for SRJ Designs. “Services” means the design, setup, coordination, production-support, fulfillment-support, and related services we provide.

Questions about these Terms may be sent to contact.srjdesigns@gmail.com.

2. Who These Terms Apply To

These Terms apply to each person who accesses or uses the Site and to each person or organization that requests, purchases, approves, receives, or benefits from Services.

A “Client” is a person or organization that engages SRJ Designs for a merchandise project or other Services. A “Client Representative” is an individual who communicates, gives instructions, approves work, or enters into an agreement on behalf of a Client. An “End Customer” is a person who purchases or receives merchandise through a storefront, order page, event, or sales channel operated, created, coordinated, or supported by SRJ Designs. A “User” means any Client, Client Representative, End Customer, or other visitor to the Site.

Some provisions apply only to Clients, while others apply only to End Customers. Provisions that do not identify a narrower group apply to all Users where relevant.

If you use the Site or Services on behalf of a company, organization, brand, employer, artist, team, venue, or other person, you represent that you have authority to bind that party. In that situation, “you” includes both you and the party you represent.

3. Agreement to These Terms

You accept these Terms by doing any of the following:

  1. (a)accessing or using the Site after being given notice of these Terms;
  2. (b)submitting a project inquiry, order, account registration, or other form that links to these Terms;
  3. (c)clicking or checking a button or box indicating acceptance;
  4. (d)signing or electronically accepting a Project Agreement that incorporates these Terms;
  5. (e)paying an invoice that incorporates these Terms; or
  6. (f)continuing to instruct SRJ Designs to perform Services after receiving these Terms.

If you do not agree, do not use the Site, place an order, approve work, or engage SRJ Designs.

Electronic records, electronic signatures, click acceptance, and other electronic indications of assent may be used to form and evidence the parties’ agreement to the extent permitted by applicable law. You agree that an electronic copy of an agreement or approval may be treated as an original.

4. Project Agreements and Order of Precedence

A “Project Agreement” is a proposal, statement of work, estimate, order form, invoice, service agreement, email confirmation, or other written record accepted by SRJ Designs and the Client that describes a specific project.

A Project Agreement may address scope, deliverables, fees, payment schedule, products, number of designs, revisions, timeline, storefront arrangements, per-item pricing, intellectual-property rights, approvals, cancellation terms, or other project-specific matters.

If there is a direct conflict among applicable documents, the following order controls unless the later document expressly states otherwise:

  1. (1)a signed Project Agreement or signed amendment;
  2. (2)a written change order or later written project-specific agreement accepted by both parties;
  3. (3)these Terms;
  4. (4)a general estimate, invoice, project brief, or policy incorporated into the transaction; and
  5. (5)general Site content.

A purchase order, vendor portal term, procurement term, or other document issued by a Client does not modify these Terms or a Project Agreement unless SRJ Designs expressly accepts the modification in a writing signed by an authorized representative. Performance, silence, delivery, or receipt of payment does not by itself constitute acceptance of additional or inconsistent terms.

5. Eligibility and Age Requirements

The Site and Services are intended for a general audience and are not directed to children under 13.

You must be at least 13 years old to use the Site. If you are under 13, do not use the Site, submit a form, create an account, place an order, or send personal information to SRJ Designs. A parent or legal guardian who believes a child under 13 has submitted personal information should contact contact.srjdesigns@gmail.com so the matter can be reviewed and appropriate action taken.

Oregon generally recognizes 18 as the age of majority. A person under 18 may browse the Site or communicate about a possible project only with the knowledge and permission of a parent or legal guardian. A paid client project for a person under 18 must be entered into, approved, and financially guaranteed by a parent, legal guardian, or other adult with legal authority and contractual capacity. SRJ Designs may require the adult to be the contracting Client and payment account holder.

An End Customer under 18 may purchase merchandise only with the involvement and permission of a parent or legal guardian and only if the applicable payment provider and storefront permit the transaction.

By using the Site or Services, you represent that you satisfy these requirements and have legal capacity to enter into the applicable transaction.

6. Project Inquiries and Acceptance

Submitting a project inquiry does not require SRJ Designs to accept the project, reserve availability, provide Services, or enter into a business relationship. SRJ Designs may accept or decline an inquiry in its reasonable discretion, subject to applicable law.

No project is accepted until the required Project Agreement has been accepted, any required deposit or initial invoice has been paid, requested materials have been received, and SRJ Designs has confirmed commencement or scheduling.

Estimates and proposed schedules are based on the information available when issued. SRJ Designs may revise an estimate or timeline if the scope, assumptions, quantities, products, Client Materials, required Services, third-party costs, or requested delivery dates change.

Unless an estimate states otherwise, it expires 30 days after issuance. Prices and availability may change before acceptance because of vendor pricing, product availability, taxes, shipping charges, platform charges, currency changes, or other circumstances.

7. Services and Scope

The Services for a project are limited to those described in the applicable Project Agreement. Services not expressly included are outside scope and may require a revised estimate, additional fee, change order, or separate agreement.

Possible Services include:

  1. (a)merchandise collection concepts and creative direction;
  2. (b)original or adapted graphic design;
  3. (c)placement, sizing, color, and production-file preparation;
  4. (d)blank product research and product selection;
  5. (e)digital mockups and presentation materials;
  6. (f)storefront, order page, product listing, or campaign setup;
  7. (g)coordination with printers, embroiderers, manufacturers, suppliers, fulfillment providers, and carriers;
  8. (h)production or sample review;
  9. (i)customer-service or fulfillment support to the extent stated in the Project Agreement; and
  10. (j)related consulting or implementation work.

Unless expressly included, the Services do not include legal advice, tax advice, accounting, trademark clearance, patent clearance, regulatory review, product-safety certification, accessibility certification, advertising substantiation, insurance advice, inventory financing, guaranteed customer service, or guaranteed sales.

SRJ Designs may determine the reasonable creative and technical means used to perform the Services, consistent with the approved scope and Client’s documented requirements.

8. Pricing and Fees

The standard SRJ Designs pricing model combines a design and setup fee with per-item pricing for the merchandise the Client orders.

8.1 Design and Setup Fee

Design and setup fees begin at $199. The final fee varies by project scope and may be higher based on factors such as the number of designs, number of products, complexity, research, creative direction, illustration, revisions, rush timing, production preparation, storefront setup, coordination requirements, licensing, custom development, or other requested work.

The applicable amount will be stated in the Project Agreement. The phrase “from $199” means $199 is the standard starting point, not a fixed price or promise that every project will cost $199.

8.2 Per-Item Pricing

Merchandise is priced per item. The Client pays SRJ Designs the per-item price for each item included in a production order. Unless the Project Agreement states otherwise, the per-item price covers the blank product, standard printing or decoration, and SRJ Designs’ coordination of the order.

Per-item prices shown on the Site are typical prices for standard products and are examples only. The actual per-item price depends on factors such as the product, brand, material, colors, print or decoration method, number of print locations, quantity, sizes, packaging, vendor pricing at the time of the order, and other specifications, and may be higher or lower than the prices shown. The applicable per-item prices will be stated in the Project Agreement, estimate, or order confirmation.

8.3 Production Orders

A production order is placed only after the Client approves the final proofs, products, and quantities and pays the amount required by the Project Agreement or invoice. Unless stated otherwise, a production order must be paid in full before it is placed.

Once a production order has been placed with a vendor, it generally cannot be changed or canceled. Section 20 applies to any cancellation request.

8.4 Resale by the Client

Unless the Project Agreement states otherwise, the Client sets its own retail prices for merchandise it resells and keeps the proceeds of its own sales. SRJ Designs does not receive a percentage of the Client’s sales unless a Project Agreement expressly provides for it.

8.5 No Partnership or Fiduciary Relationship

The pricing model does not create a partnership, joint venture, franchise, employment relationship, agency, fiduciary duty, securities interest, or shared ownership of either party’s business. Neither party may bind the other except as expressly authorized in writing.

9. Payment Terms

The Client must pay fees in the amounts and on the schedule stated in the Project Agreement or invoice. Unless stated otherwise, invoices are due upon receipt and work may be scheduled only after required payment is received.

SRJ Designs may require full payment, a nonrefundable reservation payment, or a deposit before beginning work. A payment described as nonrefundable compensates SRJ Designs for reserved capacity, onboarding, planning, and work performed, but the designation applies only to the extent permitted by law and does not allow SRJ Designs to retain money it has no good-faith right to retain.

The Client is responsible for accurate billing information and for payment-provider, bank, chargeback, foreign-exchange, collection, and returned-payment costs attributable to the Client, to the extent allowed by law.

Past-due undisputed amounts may accrue interest at the lesser of 1% per month or the maximum lawful rate, beginning 15 days after written notice of delinquency. SRJ Designs may suspend Services, withhold unlicensed deliverables, pause a storefront under its control, or decline further work while an undisputed amount remains overdue. Suspension may affect deadlines, inventory, vendor pricing, and product availability.

The Client must raise a good-faith invoice dispute in writing within 10 business days after receipt and identify the specific amount and reason disputed. Undisputed portions remain due. The parties will work in good faith to resolve a timely dispute.

10. Taxes, Shipping, Platform Fees, and Production Costs

Unless expressly included in the Project Agreement, design and setup fees do not include product costs, samples, manufacturing, printing, embroidery, packaging, labels, sales or use taxes, customs duties, tariffs, shipping, insurance, storage, payment-processing charges, platform fees, returns, chargebacks, or other third-party expenses.

Prices shown to End Customers may include or separately state some of these amounts. The party identified by the applicable storefront, Project Agreement, or law as the seller or merchant of record is responsible for collecting, reporting, and remitting applicable transaction taxes. Each party remains responsible for taxes imposed on its own income.

SRJ Designs may pass through approved third-party expenses and may require advance funding before placing an order or committing to a vendor. Third-party estimates may change until the order is accepted and paid.

11. Client Responsibilities

The Client will:

  1. (a)provide timely, accurate, and complete instructions, content, brand information, product requirements, sizing needs, quantities, deadlines, and legal or regulatory requirements;
  2. (b)identify one authorized decision-maker when requested;
  3. (c)review concepts, copy, names, colors, placements, sizes, mockups, samples, product descriptions, storefront listings, and proofs carefully;
  4. (d)provide approvals or consolidated revision requests on time;
  5. (e)obtain necessary permissions, releases, licenses, consents, and approvals for Client Materials;
  6. (f)avoid instructing SRJ Designs to create or distribute unlawful, deceptive, infringing, defamatory, hateful, threatening, dangerous, or otherwise prohibited content;
  7. (g)comply with applicable laws relating to its business, marketing, promotions, endorsements, claims, customers, taxes, and merchandise program;
  8. (h)maintain working contact, billing, payout, and shipping information; and
  9. (i)cooperate reasonably with SRJ Designs and applicable vendors.

SRJ Designs is not responsible for delay, added cost, error, or missed opportunity caused by incomplete information, late feedback, conflicting instructions, unavailable Client personnel, unapproved expenses, or other Client acts or omissions. A deadline may be extended by at least the length of the Client-caused delay plus reasonable rescheduling time.

12. Client Materials

“Client Materials” means all names, trade names, trademarks, service marks, logos, slogans, photographs, videos, illustrations, graphics, text, fonts, data, music, likenesses, product claims, brand guides, files, references, and other materials supplied, selected, or specifically directed by the Client.

The Client retains any rights it already owns in Client Materials. The Client grants SRJ Designs and its contractors and service providers a nonexclusive, worldwide, royalty-free license to reproduce, edit, adapt, format, transmit, display, distribute, and otherwise use Client Materials only as reasonably necessary to evaluate, perform, administer, produce, market, document, and support the project, subject to any written confidentiality obligations.

The Client represents and warrants that:

  1. (a)it owns Client Materials or has all permissions necessary for the intended use;
  2. (b)SRJ Designs’ authorized use will not infringe or violate intellectual-property, privacy, publicity, contractual, confidentiality, or other rights;
  3. (c)Client Materials and instructions are accurate and lawful; and
  4. (d)required model releases, property releases, music licenses, talent consents, and trademark permissions have been obtained.

SRJ Designs may rely on these representations and is not required to conduct a comprehensive rights-clearance search. SRJ Designs may reject, remove, or suspend use of material it reasonably believes presents legal, safety, reputational, production, or platform risk.

13. Creative Process, Revisions, and Change Requests

The Project Agreement may specify the number of concepts and revision rounds included. A “revision round” means one consolidated set of reasonable comments delivered at one time. Unused revision rounds have no cash value and do not transfer to another project unless agreed in writing.

Requests may be treated as additional work if they:

  1. (a)exceed included revision rounds;
  2. (b)materially change an approved direction;
  3. (c)add products, deliverables, formats, sizes, placements, languages, or sales channels;
  4. (d)require recreation because source files or information were not supplied;
  5. (e)result from inaccurate or changed Client instructions;
  6. (f)are submitted after final approval; or
  7. (g)require expedited, after-hours, or vendor-change work.

SRJ Designs will notify the Client when reasonably practicable if a request is likely to affect fees or timing. SRJ Designs is not required to begin out-of-scope work until the parties agree on the change.

Creative services are subjective. A good-faith difference in aesthetic preference is not by itself a defect or breach when SRJ Designs has performed the agreed scope and responded to included revision requests.

14. Approvals and Proofs

The Client is responsible for carefully reviewing each proof, mockup, sample, product listing, and final file before approval. Approval authorizes SRJ Designs and applicable vendors to rely on the approved material and proceed.

The Client must check, at minimum:

  1. (a)spelling, punctuation, names, dates, prices, links, contact information, and legal notices;
  2. (b)artwork, colors, placements, orientation, dimensions, and scale;
  3. (c)product model, color, size range, materials, and product description;
  4. (d)trademarks, copyrights, permissions, endorsements, and factual claims; and
  5. (e)quantities, shipping information, launch information, and other order details.

After approval, corrections may require new files, setup, products, production, shipping, or platform work at additional cost. SRJ Designs is not responsible for an error that appears in material the Client approved, unless SRJ Designs introduced a different error after approval.

A digital mockup is a visual approximation, not a guarantee of exact physical appearance. Screen settings, fabric, garment color, thread, ink, print method, scale, placement tolerances, lighting, and normal manufacturing variation can affect the finished product.

15. Timelines and Delivery Estimates

Dates and timelines are estimates unless the Project Agreement expressly identifies a date as a guaranteed deadline and states the specific remedy for missing it.

Estimated timelines may depend on Client cooperation, vendor capacity, product availability, sample approval, payment, platform review, shipping conditions, and events outside SRJ Designs’ control. SRJ Designs will use commercially reasonable efforts to communicate material known delays, but does not guarantee that a launch, delivery, or restock will occur by a particular date unless expressly agreed in writing.

A delayed third-party shipment or production run does not automatically entitle a Client or End Customer to consequential damages, lost-profit damages, or cancellation. Refund, replacement, or other remedies remain available when required by these Terms, the Project Agreement, storefront policy, or applicable law.

16. Products, Samples, and Manufacturing Variations

Product descriptions, size charts, weights, colors, materials, measurements, and photographs are supplied by manufacturers or vendors or are reasonable approximations. Actual items may vary.

Normal and commercially reasonable variations may include:

  1. (a)small differences in color between screens, proofs, production lots, and finished goods;
  2. (b)slight changes in print or embroidery placement, scale, registration, thread, texture, or saturation;
  3. (c)minor differences in measurements, stitching, material, weight, finish, or packaging;
  4. (d)substitutions authorized under the Project Agreement or separately approved; and
  5. (e)differences caused by updated product models or vendor specifications.

These normal variations are not defects unless they materially depart from the approved specification or applicable legal standard.

Samples may reduce risk but do not guarantee that every production item will be identical to the sample. If a Client declines a recommended sample or expedited review, the Client accepts the reasonably foreseeable risks of proceeding without it.

17. Third-Party Production and Fulfillment

SRJ Designs may select, recommend, integrate with, or coordinate independent printers, embroiderers, manufacturers, blank-goods suppliers, warehouses, fulfillment providers, shipping carriers, payment processors, storefront providers, hosting services, and other vendors.

These providers are independent third parties and are not employees of SRJ Designs. SRJ Designs does not control every aspect of their staffing, equipment, inventory, uptime, policies, manufacturing tolerances, routing, security, or performance.

To the fullest extent permitted by law, SRJ Designs is not responsible for a third party’s act or omission that SRJ Designs did not direct, authorize, cause, or negligently fail to address within the agreed scope. This includes a vendor’s independent delay, outage, lost shipment, misroute, product discontinuation, inventory shortage, account restriction, data incident, pricing change, or production error.

This limitation does not mean every third-party error is left without a remedy. When merchandise is materially defective, damaged, misprinted, missing, or incorrectly fulfilled, the claim and remedy procedures in these Terms apply. SRJ Designs will use commercially reasonable efforts to submit and coordinate a valid claim with the applicable provider when that support is included or reasonably incidental to the project.

SRJ Designs may replace a vendor, product, integration, method, or workflow if reasonably necessary because of availability, quality, safety, price, timing, policy, technical, or legal concerns. Material substitutions affecting an approved product or price require Client approval when reasonably practicable.

18. Storefronts, Platforms, and Accounts

A merchandise storefront may be hosted or powered by a third party. Use of that storefront may also be subject to the provider’s terms, privacy policy, acceptable-use rules, payment rules, and technical limitations.

The Project Agreement should identify, where applicable, who owns or controls the domain, platform account, customer list, payment account, analytics account, and storefront content. If it does not, ownership of each underlying account remains with the person in whose name the account is registered, while each party retains its preexisting intellectual property.

The Client must protect account credentials, use multifactor authentication when available, and promptly report suspected unauthorized access. SRJ Designs is not responsible for access obtained through credentials or systems controlled by the Client unless caused by SRJ Designs’ failure to use reasonable care.

Third-party platforms may change features, fees, eligibility, policies, application programming interfaces, product catalogs, or availability without notice. SRJ Designs may modify or suspend affected Services when reasonably necessary. A platform change outside SRJ Designs’ reasonable control is not a breach, although the parties remain responsible for amounts earned and work properly performed before the change.

19. End-Customer Orders

An End Customer must provide accurate order, payment, contact, size, and shipping information. An order is subject to acceptance, fraud review, product availability, payment authorization, and applicable storefront rules.

An order-confirmation message acknowledges receipt but does not necessarily constitute final acceptance. An order may be canceled and refunded if a product is unavailable, the price or listing contains a material error, the transaction is suspected of fraud, the shipping destination is unsupported, or fulfillment would violate law or provider policy.

Title and risk of loss for merchandise pass as provided by applicable law and the shipping terms disclosed at checkout. Nothing in this section limits a nonwaivable right concerning undelivered goods.

End Customers are responsible for reviewing product descriptions and size information before ordering. Sizes may differ among brands and product models.

20. Cancellation by a Client

A Client may request cancellation in writing. Cancellation is effective when SRJ Designs confirms receipt, but SRJ Designs is not required to reverse work, production, platform commitments, or vendor orders already performed or incurred.

Unless the Project Agreement states otherwise, the Client remains responsible for:

  1. (a)Services performed through the cancellation date;
  2. (b)noncancelable vendor, product, platform, production, and shipping commitments;
  3. (c)approved out-of-pocket expenses;
  4. (d)amounts owed for production orders already placed and other accrued amounts; and
  5. (e)reasonable shutdown, file-transfer, or transition work requested by the Client.

If the Client prepaid more than the amount properly earned or incurred, SRJ Designs will return the unearned balance within a reasonable time. No provision authorizes SRJ Designs to retain payment it has no good-faith contractual or legal basis to retain.

21. Suspension or Termination by SRJ Designs

SRJ Designs may suspend or terminate Services on reasonable written notice if:

  1. (a)the Client materially breaches these Terms or a Project Agreement and does not cure a curable breach within 10 days after notice;
  2. (b)an undisputed payment remains overdue after notice;
  3. (c)the Client provides unlawful, infringing, deceptive, unsafe, abusive, or prohibited instructions or materials;
  4. (d)continued performance would reasonably expose SRJ Designs or another person to legal, security, safety, financial, or reputational harm;
  5. (e)a necessary vendor or platform refuses or becomes unable to support the project; or
  6. (f)a force majeure event makes continued performance impracticable.

SRJ Designs may suspend immediately when reasonably necessary to address fraud, security, safety, illegality, infringement, harassment, or urgent platform risk.

If SRJ Designs ends a project for convenience rather than Client breach or external impossibility, SRJ Designs will refund any prepaid amount allocable to Services not performed and transferable third-party costs not incurred. If termination results from Client breach, the Client remains responsible for amounts described in Section 20.

22. Refunds, Reprints, and Merchandise Claims

This section establishes the standard claim process. A Project Agreement or storefront policy may provide more favorable rights. Applicable law may also require additional remedies.

22.1 Eligible Problems

A reprint, replacement, refund, or other appropriate remedy may be available when:

  1. (a)the delivered item is materially different from the product ordered;
  2. (b)the wrong item, size, design, or quantity was sent;
  3. (c)the item arrives materially damaged;
  4. (d)the print, embroidery, or manufacturing has a material defect beyond normal variation;
  5. (e)a material production error differs from the final approved file or specification;
  6. (f)the package is confirmed lost or undelivered under the applicable carrier or provider process; or
  7. (g)a refund or other remedy is required by applicable law.

22.2 Notice and Evidence

The person making a claim should contact the support address shown on the storefront or, if none is shown, contact.srjdesigns@gmail.com. Notice should be provided within 14 days after delivery, or within 14 days after the latest estimated delivery date for a missing order. A longer period applies if required by law or stated by the applicable storefront or provider.

The claim should include the order number, purchaser name, description of the problem, and clear photographs of the item, packaging, shipping label, defect, or damage where reasonably available. The claimant should retain the item and packaging until instructed otherwise.

Prompt notice helps preserve vendor and carrier remedies. Failure to notify within the stated period may limit voluntary remedies when delay prevents verification, but does not eliminate rights that cannot lawfully be waived.

22.3 Available Remedies

After reasonable review, SRJ Designs or the applicable seller may choose an appropriate remedy, which may include:

  1. (a)correcting the order;
  2. (b)arranging a reprint or replacement at no additional product or standard-shipping charge;
  3. (c)refunding the purchase price paid for the affected item and any directly associated standard shipping charge;
  4. (d)providing a proportionate refund for a partial defect; or
  5. (e)another remedy agreed with the claimant.

The selection among remedies will consider the nature of the problem, availability, provider rules, proportionality, applicable law, and the claimant’s circumstances. If a legally required remedy applies, the legally required remedy controls.

Refunds are ordinarily issued to the original payment method. Processing time depends on the payment provider and financial institution. Original or return shipping is not refundable unless it relates to an eligible claim or applicable law requires otherwise.

22.4 Problems Generally Not Eligible

Except where required by law or expressly stated otherwise, refunds, returns, and reprints are generally not available for:

  1. (a)buyer’s remorse or a change of mind;
  2. (b)ordering the wrong product, color, or size;
  3. (c)failure to review a size chart or product description;
  4. (d)an incorrect or incomplete address supplied by the purchaser;
  5. (e)refusal, abandonment, or failure to retrieve a deliverable package;
  6. (f)normal wear, improper washing or care, misuse, alteration, or damage after delivery;
  7. (g)expected screen-to-print color differences or normal manufacturing variations;
  8. (h)dissatisfaction with artwork accurately reproduced from an approved design or proof;
  9. (i)a Client-requested change after production begins;
  10. (j)delay caused solely by a carrier, customs authority, force majeure event, or circumstance outside reasonable control, unless the order is legally considered undelivered or another remedy is required; or
  11. (k)a personalized, custom, or made-to-order item that is not defective.

22.5 Address Errors and Returned Packages

If an order is returned or lost because the purchaser provided an inaccurate or incomplete address, the purchaser may be responsible for the cost of reshipment or replacement. SRJ Designs will not knowingly retain both returned usable merchandise and the full purchase price when doing so would violate applicable law. Available options may depend on whether the custom item can be resold or the provider can recover it.

22.6 Chargebacks

Before initiating a chargeback, the purchaser should contact the applicable support address and allow a reasonable opportunity to investigate. This request does not restrict a legally protected chargeback right. A knowingly false or abusive chargeback may result in account restriction and recovery of permitted costs.

23. Design-Fee Refunds

Design and setup fees compensate creative work, planning, reserved capacity, onboarding, research, and technical setup. Once that work has begun, those fees are generally nonrefundable to the extent earned.

If SRJ Designs materially fails to provide an agreed Service and does not cure the failure within a reasonable time after written notice, the Client may be entitled to a refund or credit reasonably proportionate to the unperformed or materially nonconforming portion, subject to the Project Agreement and applicable law.

A subjective change in taste after reasonable performance, a decision not to launch, a failure to sell merchandise, or dissatisfaction caused by Client-approved work does not by itself require a refund.

24. Lost, Delayed, or Stolen Shipments

Shipping estimates are not guarantees unless expressly stated. Carrier scans and tracking information may be incomplete or delayed.

For a shipment that appears lost, the claimant must reasonably cooperate with address verification, carrier tracing, claim forms, affidavits, or other standard investigation steps. SRJ Designs or the seller may wait until the carrier’s applicable loss threshold has passed before issuing a voluntary replacement or refund.

For a package marked delivered but not located, the recipient should promptly check the delivery area, household members, building staff, neighbors, carrier notices, and the carrier. SRJ Designs is not responsible for theft or loss occurring after valid delivery to the address or delivery location selected by the purchaser, except to the extent applicable law provides otherwise.

25. Intellectual Property Ownership

25.1 SRJ Background Materials

SRJ Designs retains ownership of its preexisting and independently developed concepts, methods, templates, processes, systems, know-how, presentation formats, mockup systems, production techniques, software, tools, libraries, reusable elements, and other materials not created exclusively for the Client (“Studio Materials”).

25.2 Working Files and Unused Concepts

Unless a Project Agreement expressly states otherwise, SRJ Designs retains ownership of working files, editable source files, drafts, proposals, rejected or unused concepts, exploratory work, production methods, and materials not included in the final approved deliverables. The Client receives no right to use rejected or unpaid concepts.

25.3 Final Deliverables

The Project Agreement should state whether final approved deliverables are licensed or assigned. If it does not, then after full payment of all applicable fees, SRJ Designs grants the Client a nonexclusive, worldwide license to use the final approved deliverables for the Client’s own brand marketing and for merchandise produced or coordinated through the project, subject to these Terms.

That default license does not include the right to:

  1. (a)resell or sublicense the design itself as stock art, a template, or a standalone asset;
  2. (b)register SRJ Designs’ Studio Materials or unused concepts as the Client’s property;
  3. (c)remove third-party license restrictions;
  4. (d)use the work unlawfully or deceptively; or
  5. (e)have merchandise bearing the deliverables produced through another producer or vendor without SRJ Designs’ written consent, unless the Project Agreement provides otherwise.

An exclusive license or complete assignment must be expressly stated in a signed Project Agreement and may require additional compensation. No ownership or license transfers until all applicable amounts are paid, except for limited internal review rights necessary during the project.

25.4 Third-Party Materials

Final work may incorporate fonts, stock assets, product images, software, platform elements, templates, or other third-party materials. Those materials remain subject to their respective licenses and are not transferred beyond the rights lawfully available. The Client is responsible for ongoing license fees expressly identified as the Client’s responsibility.

25.5 Trademarks

Unless expressly included, SRJ Designs does not perform a comprehensive trademark availability or clearance search and does not guarantee that a name, slogan, logo, or design is available for use or registration. The Client should consult qualified counsel before adopting or investing in a mark.

26. Portfolio and Publicity

Unless the Client and SRJ Designs agree in writing that a project is confidential or embargoed, SRJ Designs may display final publicly released work, Client name, Client logo, photographs of produced merchandise, and a factual description of the project in its portfolio, Site, social channels, presentations, award submissions, and business-development materials.

SRJ Designs will not knowingly disclose nonpublic sales figures, customer personal information, confidential strategy, or unreleased work through portfolio use.

The Client may request a reasonable launch embargo before publication. A complete prohibition on portfolio use must be agreed in writing and may affect pricing.

Neither party may falsely imply an endorsement, partnership, or ongoing relationship beyond the project.

27. Feedback

If you voluntarily provide suggestions, ideas, or feedback about the Site or Services, you grant SRJ Designs a nonexclusive, perpetual, worldwide, irrevocable, royalty-free right to use and incorporate that feedback without restriction or compensation, provided SRJ Designs does not publicly identify you as the source without permission.

This section does not transfer ownership of Client Materials or confidential information.

28. Confidentiality

“Confidential Information” means nonpublic information disclosed by one party to the other that is marked confidential or should reasonably be understood as confidential given its nature and the circumstances.

The receiving party will use Confidential Information only to perform or receive the Services and will protect it with at least reasonable care. The receiving party may disclose it to personnel, contractors, and service providers who need to know it and are bound by confidentiality obligations, or when disclosure is required by law.

Confidential Information does not include information that the receiving party can show:

  1. (a)was lawfully known without restriction before disclosure;
  2. (b)becomes public without breach;
  3. (c)is received lawfully from another source without confidentiality duty; or
  4. (d)is independently developed without use of the disclosing party’s Confidential Information.

If legally compelled to disclose Confidential Information, the receiving party may do so and, when legally permitted and reasonably practicable, will give prompt notice so the disclosing party may seek protection.

29. Privacy and Data

SRJ Designs may collect and process contact, project, order, transaction, communications, device, usage, and other information as described in the applicable Privacy Policy and at the point of collection.

Third-party platforms, payment processors, storefront providers, analytics providers, fulfillment vendors, and carriers may process information under their own privacy notices. SRJ Designs is not responsible for an independent third party’s privacy practices, but will use service providers and information in a manner consistent with applicable obligations.

The Client will not provide sensitive personal information unless specifically requested and reasonably necessary. The Client represents that it has provided any notices and obtained any permissions required to share customer, employee, model, or other personal information with SRJ Designs for the project.

If the parties anticipate that SRJ Designs will process personal information on the Client’s behalf at a scale or in a manner requiring a data-processing agreement, the parties will enter into an appropriate written addendum before that processing begins.

No online system is completely secure. SRJ Designs will use reasonable safeguards appropriate to the nature of information it controls, but cannot guarantee absolute security or uninterrupted availability.

30. Acceptable Use of the Site

You may use the Site only for lawful purposes. You may not:

  1. (a)violate law or another person’s rights;
  2. (b)submit malicious code, interfere with operation, bypass security, or probe for vulnerabilities without authorization;
  3. (c)scrape, harvest, copy, or extract Site content or data by automated means except as allowed by law or written permission;
  4. (d)impersonate another person or misrepresent authority or affiliation;
  5. (e)use the Site to transmit spam, fraud, harassment, threats, obscenity, exploitation, or unlawful content;
  6. (f)attempt to access another user’s account or nonpublic information;
  7. (g)reverse engineer or circumvent a technical restriction except to the extent a prohibition is not enforceable under law; or
  8. (h)use Site content or Services to build a confusingly similar service or falsely imply association with SRJ Designs.

SRJ Designs may investigate suspected misuse and restrict access when reasonably necessary to protect the Site, Users, vendors, or legal rights.

31. Site Content and Links

The Site and its content are owned by SRJ Designs or its licensors and are protected by applicable intellectual-property laws. Subject to these Terms, SRJ Designs grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Site for personal or internal business evaluation and legitimate transactions with SRJ Designs.

The Site may link to third-party websites or services. Links are provided for convenience and do not constitute control, sponsorship, or endorsement. Your use of a third-party service is governed by its own terms.

SRJ Designs may update, withdraw, or correct Site content at any time. Site descriptions are general information and do not modify a Project Agreement.

32. Communications

You consent to receive transactional communications reasonably related to inquiries, projects, orders, accounts, security, policy updates, and customer support at the contact information you provide.

Marketing emails will be sent in accordance with applicable law and may be unsubscribed from using the provided method. Opting out of marketing does not prevent necessary nonmarketing communications about an active project, transaction, or legal notice.

You are responsible for keeping contact information current and for monitoring spam or filtered folders when expecting project or order communications.

33. Representations by Users

You represent and warrant that:

  1. (a)information you provide is accurate in all material respects;
  2. (b)you will comply with these Terms and applicable law;
  3. (c)you have authority and capacity to enter into the transaction;
  4. (d)your instructions and use of the Services will not violate another person’s rights; and
  5. (e)you will not use the Site, deliverables, or merchandise for unlawful, deceptive, infringing, or harmful activity.

These representations are ongoing and must be corrected promptly if circumstances change.

34. No Sales or Business-Performance Guarantee

SRJ Designs does not guarantee any level of demand, orders, revenue, profit, margin, conversion, engagement, publicity, brand growth, customer retention, audience response, resale value, or market success.

Forecasts, examples, mock storefronts, pricing illustrations, past results, projected margins, and sales scenarios are estimates or illustrations only. Actual results depend on many factors outside SRJ Designs’ control, including audience, offer, pricing, brand strength, marketing, timing, economy, competition, platform performance, product-market fit, taxes, refunds, and vendor costs.

The Client is responsible for its launch, marketing, claims, commercial decisions, and evaluation of financial viability unless the Project Agreement expressly assigns a specific task to SRJ Designs.

35. Disclaimers of Warranties

Except for an express written obligation in a Project Agreement, and to the fullest extent permitted by law, the Site, Services, designs, recommendations, storefronts, and related materials are provided “as is” and “as available.”

To the fullest extent permitted by law, SRJ Designs disclaims implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, quiet enjoyment, and warranties arising from course of dealing or usage of trade.

SRJ Designs does not warrant that:

  1. (a)the Site or a third-party platform will be continuous, secure, error-free, or compatible with every device;
  2. (b)every product, size, color, vendor, or shipping service will remain available;
  3. (c)every design will be registrable, noninfringing, or commercially successful without a legal clearance process expressly included in scope;
  4. (d)an independent vendor will perform without error; or
  5. (e)every defect or interruption can be corrected.

These disclaimers do not exclude an express warranty actually made in writing or any warranty or consumer right that cannot legally be disclaimed.

36. Limitation of Liability

36.1 Excluded Categories of Damages

To the fullest extent permitted by law, SRJ Designs and its owner, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to the Site, Services, merchandise, a project, or these Terms, even if advised that such damages may occur.

To the fullest extent permitted by law, this exclusion includes alleged loss of profits, revenue, savings, goodwill, reputation, customers, business opportunity, data, use, or business interruption.

36.2 Third-Party Conduct

To the fullest extent permitted by law, SRJ Designs is not liable for loss caused solely by the independent acts or omissions of a manufacturer, printer, embroiderer, supplier, warehouse, carrier, payment processor, commerce platform, hosting provider, or other third party that SRJ Designs did not direct, authorize, cause, or negligently fail to address within its agreed responsibilities.

36.3 Aggregate Cap for Client Claims

Except for Excluded Claims described below, SRJ Designs’ aggregate liability for all Client claims arising from or relating to a particular project will not exceed the greater of:

  1. (a)the total fees, excluding pass-through vendor costs, actually paid directly to SRJ Designs for that project during the 12 months before the event giving rise to the claim; or
  2. (b)$100.

36.4 Aggregate Cap for End-Customer Claims

Except for Excluded Claims described below, SRJ Designs’ aggregate liability to an End Customer arising from an order will not exceed the amount the End Customer actually paid for the affected item and its standard shipping.

36.5 Excluded Claims and Nonwaivable Rights

The exclusions and caps in this section do not apply to the extent liability results from SRJ Designs’ fraud, intentional misconduct, or other conduct for which liability cannot lawfully be limited. They also do not limit a payment obligation, an available merchandise remedy expressly provided in these Terms, or any statutory or other right that applicable law does not permit the parties to waive.

36.6 Allocation of Risk

The parties agree that the pricing and other provisions reflect this allocation of risk and that the limitations apply to the fullest extent permitted by law regardless of the legal theory asserted and even if a limited remedy fails of its essential purpose.

37. Indemnification

To the fullest extent permitted by law, a Client will defend, indemnify, and hold harmless SRJ Designs and its owner, employees, contractors, and agents from third-party claims, damages, judgments, settlements, penalties, losses, liabilities, and reasonable attorneys’ fees arising from or relating to:

  1. (a)Client Materials or Client instructions;
  2. (b)an allegation that Client Materials or their authorized use infringe intellectual-property, privacy, publicity, confidentiality, or contractual rights;
  3. (c)the Client’s product claims, advertising claims, promotions, contests, marketing, customer communications, or legal compliance;
  4. (d)the Client’s material breach of these Terms or a Project Agreement;
  5. (e)the Client’s unlawful, fraudulent, reckless, or willful conduct;
  6. (f)a modification or use of deliverables outside the rights granted; or
  7. (g)taxes, employment obligations, or customer commitments that are the Client’s responsibility.

The indemnity does not apply to the extent a claim was caused by SRJ Designs’ breach, negligence, intentional misconduct, or material outside the Client’s control that SRJ Designs added without Client direction.

The indemnified party must give reasonably prompt notice, permit the indemnifying party to control the defense with qualified counsel, and provide reasonable cooperation at the indemnifying party’s expense. The indemnifying party may not settle a claim in a way that admits wrongdoing by, imposes nonmonetary duties on, or fails to fully release the indemnified party without written consent, not to be unreasonably withheld.

38. Release Concerning Third-Party Disputes

To the fullest extent permitted by law, SRJ Designs is not responsible for a dispute solely between a Client and its customers, employees, collaborators, licensors, influencers, sponsors, venues, or other third parties when SRJ Designs is not at fault.

Nothing in this section releases a claim against SRJ Designs based on SRJ Designs’ own breach, negligence, intentional misconduct, or nonwaivable legal responsibility.

39. Force Majeure

Neither party is liable for delay or failure to perform, other than payment obligations for amounts already earned or incurred, to the extent caused by an event beyond that party’s reasonable control.

Events may include natural disaster, wildfire, flood, severe weather, epidemic, pandemic, public-health measure, war, terrorism, civil unrest, labor disruption, transportation interruption, carrier failure, power or internet outage, cyberattack by a third party, government action, embargo, tariff change, customs delay, supply shortage, factory closure, platform outage, or failure of an essential vendor despite reasonable precautions.

The affected party will use commercially reasonable efforts to notify the other party, reduce the effect, and resume performance. Deadlines will be extended for a reasonable period. If a force majeure event materially prevents a project for more than 60 days, either party may terminate the affected portion on written notice, and the Client will pay for work performed and noncancelable costs incurred through termination. Any unearned prepaid balance will be returned.

40. Insurance and Risk Management

Unless the Project Agreement states otherwise, the Client is responsible for deciding whether to obtain business, event, product-liability, cyber, shipping, cancellation, or other insurance appropriate to its merchandise program.

SRJ Designs does not provide insurance advice and does not insure the Client’s inventory, events, income, intellectual property, customer obligations, or business operations.

41. Dispute Notice and Informal Resolution

Before filing a lawsuit, other than an eligible small-claims matter or a request for urgent injunctive relief, the complaining party will send a written notice describing:

  1. (a)the party’s name and contact information;
  2. (b)the nature and factual basis of the dispute;
  3. (c)the amount or other relief requested; and
  4. (d)reasonably available supporting documents.

Notice to SRJ Designs must be emailed to contact.srjdesigns@gmail.com with the subject line “Legal Dispute Notice.” SRJ Designs may send notice to the most recent email or business address provided by the other party.

The parties will attempt in good faith to resolve the dispute for 30 days after receipt. A limitations period will be tolled during this 30-day period only if applicable law allows and only to the extent necessary to give effect to this process.

This section does not prevent either party from seeking prompt temporary, emergency, or injunctive relief when reasonably necessary to protect intellectual property, confidential information, accounts, systems, safety, or other rights from imminent harm.

42. Governing Law and Court Venue

These Terms, each Project Agreement, and any dispute arising from them are governed by the laws of the State of Oregon and applicable federal law, without regard to conflict-of-law rules, except to the extent another jurisdiction’s law must apply and cannot validly be waived.

Unless a Project Agreement contains a separately accepted and enforceable arbitration agreement, a court proceeding must be brought in a state or federal court of competent jurisdiction located in Oregon, preferably in the Oregon county where SRJ Designs maintains its principal place of business, except where applicable law requires or permits a different forum.

Each party consents to personal jurisdiction and venue in those courts to the fullest extent permitted by law. Either party may bring an eligible individual claim in small-claims court.

These Terms do not require arbitration and do not waive a jury trial or class proceeding except to the extent a separate written agreement, accepted by the affected parties, validly provides otherwise.

43. Limitation Period

To the fullest extent permitted by law, a Client claim arising from a commercial project must be filed within one year after the claimant knew or reasonably should have known of the facts giving rise to the claim.

This contractual period does not apply to End Customers acting as consumers, to claims or statutory periods that cannot lawfully be shortened, or to claims based on fraud or intentional misconduct where the limitation would be unenforceable.

44. Oregon and Other Mandatory Consumer Rights

Nothing in these Terms is intended to waive, restrict, or misstate rights that cannot legally be waived, including rights that may apply under Oregon consumer-protection law or the law of another jurisdiction that mandatorily applies.

Without limiting the foregoing, SRJ Designs will not rely on these Terms to retain payment for goods or Services that were promised but not delivered when SRJ Designs has no contractual or legal right, claim, or defense asserted in good faith for retaining that payment.

If a warranty disclaimer, refund restriction, venue provision, limitation period, damages exclusion, liability cap, or other provision conflicts with a nonwaivable law, that provision will be enforced only to the maximum lawful extent, and the legally required right or remedy remains available.

45. Copyright Complaints

If you believe content used by SRJ Designs infringes your copyright, send a written notice to contact.srjdesigns@gmail.com containing:

  1. (a)identification of the copyrighted work;
  2. (b)identification and location of the allegedly infringing material;
  3. (c)your contact information;
  4. (d)a statement of your good-faith belief that the use is not authorized by the owner, its agent, or law;
  5. (e)a statement, made under penalty of perjury, that the notice is accurate and you are authorized to act; and
  6. (f)your physical or electronic signature.

SRJ Designs may remove or restrict material while reviewing a good-faith complaint. Knowingly submitting a false claim may create legal liability.

This section provides a practical notice method and is not a representation that SRJ Designs is required to maintain a designated agent under any particular safe-harbor statute.

46. Compliance with Law and Prohibited Merchandise

SRJ Designs may refuse content or merchandise involving illegality, counterfeiting, infringement, fraud, unlawful discrimination, credible threats, sexual exploitation, nonconsensual intimate material, regulated goods outside agreed scope, or content prohibited by an essential provider.

The Client is responsible for identifying industry-specific laws, labeling, warnings, substantiation, age restrictions, sweepstakes rules, endorsement disclosures, union requirements, league rules, school rules, music rights, and other requirements applicable to its business or campaign.

If a product requires testing, certification, warning labels, country-of-origin disclosure, accessibility, special packaging, or regulated claims, those requirements must be identified in the Project Agreement. SRJ Designs does not assume those responsibilities merely by designing artwork.

47. Accessibility

SRJ Designs aims to make its Site and communications reasonably usable. A person who has difficulty accessing Site content or completing a transaction may contact contact.srjdesigns@gmail.com and describe the requested assistance.

The Client is responsible for accessibility obligations relating to Client-controlled websites, storefront accounts, marketing, events, and content unless a Project Agreement expressly includes accessibility work.

48. Changes to These Terms

SRJ Designs may update these Terms from time to time. The updated version will state a revised effective date and will be posted or otherwise made available.

Changes apply prospectively. A material change will not retroactively alter payment rights, intellectual-property rights, dispute terms, or other material provisions for an already accepted Project Agreement unless the parties agree or applicable law permits the change with adequate notice.

Continued use of the general Site after updated Terms take effect constitutes acceptance of the updated Terms for future Site use. If you do not agree to an update, stop using the Site. The version accepted with a Project Agreement continues to govern that project unless validly amended.

49. Notices

Routine project notices may be sent through the parties’ ordinary email, project-management system, or platform account.

Formal notices under these Terms must be in writing. Notice to SRJ Designs must be sent to contact.srjdesigns@gmail.com unless SRJ Designs designates another address in a Project Agreement or on the Site. Notice to a User may be sent to the most recent email or business address provided.

Email notice is effective when sent without a bounce or delivery-failure message, except a Legal Dispute Notice is effective on confirmed receipt or one business day after transmission without a failure notice, whichever occurs first. This notice provision does not govern formal service of process in a lawsuit.

50. Assignment

The Client may not assign or transfer a Project Agreement, license, or material obligation without SRJ Designs’ prior written consent, not to be unreasonably withheld for a legitimate business reorganization or sale where the successor assumes all obligations.

SRJ Designs may assign these Terms or a Project Agreement in connection with a merger, reorganization, sale of substantially all relevant assets, or transfer of the SRJ Designs business, provided the successor assumes the applicable obligations.

Any prohibited assignment is void to the extent permitted by law.

51. Independent Contractors

The parties are independent contractors. Nothing creates employment, partnership, joint venture, franchise, agency, fiduciary, or representative authority. Neither party may make a promise, warranty, or commitment on behalf of the other without written authority.

SRJ Designs may use qualified employees, contractors, and vendors to perform portions of the Services and remains responsible for its own obligations under the applicable agreement.

52. No Third-Party Beneficiaries

Except for persons expressly entitled to indemnification or liability protection under these Terms, these Terms do not create enforceable rights for a person who is not a party to the applicable transaction.

53. Severability and Reformation

If a court finds a provision invalid, illegal, or unenforceable, the provision will be enforced to the maximum extent permitted and, when appropriate, modified narrowly to reflect the parties’ lawful intent. If it cannot be modified, it will be severed. The remaining provisions will continue in effect unless the essential purpose of the agreement would be defeated.

54. Waiver

A waiver must be clear and in writing. A delay or failure to enforce a provision is not a continuing waiver and does not waive enforcement on another occasion. A waiver of one breach is not a waiver of another breach.

55. Interpretation

Headings are for convenience and do not limit meaning. “Including” means “including without limitation.” “Or” is inclusive unless context requires otherwise. The singular includes the plural and vice versa where appropriate.

These Terms will be interpreted fairly according to their ordinary meaning and not strictly against either party as drafter. References to law include amendments and successor provisions to the extent applicable.

56. Survival

Provisions that by their nature should continue after completion or termination will survive, including payment obligations, ownership, license restrictions, confidentiality, warranty disclaimers, limitations of liability, indemnification, dispute provisions, and general contract provisions.

57. Entire Agreement

These Terms, the applicable Project Agreement, valid change orders, incorporated policies, and documents expressly identified in them constitute the entire agreement concerning their subject matter and replace prior or contemporaneous discussions, proposals, and understandings on that subject.

A modification must be in a writing accepted by authorized representatives of both parties, except that SRJ Designs may update general Site Terms prospectively as described in Section 48.

Neither party is relying on a promise or representation not contained in the applicable agreement, except that this sentence does not exclude liability for fraud or intentional misrepresentation.
